Healthcaps India Limited before the National Company Law Tribunal, Chandigarh Bench.

AZB & Partners successfully represented Healthcaps India Limited before the National Company Law Tribunal, Chandigarh Bench, in a matter involving reduction of its share capital under Section 66 of the Companies Act, 2013.

This matter dealt with, inter alia, the following aspects: (i) Reduction can be undertaken in any manner provided it is not unfair or unreasonable;

(ii) Question of reduction is a matter of domestic concern, and majority decision prevails; and (iii) Merely objecting to valuation methodology without plausible justification ought to be disregarded.
