MCA Clarifies that Companies may Continue to Conduct General Meetings through VC or OAVM

Following the COVID-19 restrictions, the MCA first allowed companies to hold their general meetings by way of Video Conference (‘VC’) and Other Audio Visual Means (‘OAVM’) through General Circular dated April 8, 2020. This permission was extended through various circulars issued between 2022 and 2024, with the last Circular permitting companies to conduct their general meetings for the years 2024 and 2025 through VC or OAVM on or before September 30, 2025. By way of General Circular dated September 22, 2025, the MCA has now allowed companies to continue holding general meetings through VC or OAVM until further orders, subject to compliance with the conditions set out in the earlier circulars. The MCA has clarified that this extension does not extend the statutory timelines under the Act for companies to hold their general meetings.
