AZB & Partners advised Termomeccanica S.p.A. (“TM”), in connection with the internal reorganization of their India business, as a part of the larger transaction which involved the acquisition of Termomeccanica Industrial Compressors S.p.A. (“TMIC”) and Adicomp S.p.A. (“Adicomp”), both wholly owned subsidiaries of TM, by Gardner Denver Italy Holdings S.r.l., a company belonging to the Ingersoll Rand, Inc. group, and the internal reorganisation of TMIC and Adicomp in Italy, United States of America and China as well. TMIC and Adicomp are companies specialising in the development of gas compressors.

Through this deal, Adicomp acquired 49% equity stake of Adicomp India Private Limited, a JV company, from their JV partner, Kal Energy Private Limited. Adicomp India Private Limited has ultimately been acquired by Gardner Denver Italy Holdings S.r.l as a part of the larger transaction.
